TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the SoJo Cleaning Co. website and services. By visiting our website, submitting a booking request, or using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our website or services.
1. Legal Entity & Company Information
These Terms are entered into by and between 197 Main LLC, a New York State limited liability company, doing business as SoJo Cleaning Co. ("SoJo," "we," "us," or "our").
SoJo Cleaning Co. provides residential and commercial cleaning services in New York City and Long Island, New York.

2. Booking Requests & Service Confirmation
All bookings made through our website constitute a service request only and are not considered confirmed appointments until reviewed and accepted by SoJo Cleaning Co.
After a booking request is submitted:
We will review the request for availability, service scope, and location.
We will contact you to confirm details and assign a cleaner.
While we make every effort to accommodate requested dates and times, adjustments to arrival time or service date may be necessary.
A booking is considered confirmed only after you receive written confirmation from SoJo Cleaning Co. via email or text message.
3. Pricing, Estimates & Scope of Work
All prices displayed on our website are estimates based on typical conditions and the information provided at booking.
Final pricing may be adjusted if:
The size, condition, or layout of the space differs materially from what was described
Additional services or add-ons are requested
Excessive buildup, clutter, or conditions requiring additional time are present
Any pricing adjustments will be communicated for approval before work continues when reasonably possible.
4. Client Responsibilities
Clients agree to:
Provide safe and reasonable access to the property at the scheduled time
Secure pets as needed to allow cleaners to work safely
Ensure utilities (electricity, water) are available
Disclose any fragile, high-value, or specialty surfaces prior to service
SoJo Cleaning Co. is not responsible for delays or incomplete service due to unsafe conditions, restricted access, or undisclosed issues.
5. Cancellations & Rescheduling Policy
We require a minimum of 24 hours’ notice for all cancellations or rescheduling requests.
Cancellations made with less than 24 hours’ notice may be subject to a cancellation fee of up to 50% of the booked service price.
Repeated last-minute cancellations may result in refusal of future bookings.
All cancellation or rescheduling requests must be submitted via email, phone, or text.
6. No-Show Policy
If our cleaning team arrives at your property and is unable to gain access due to the client’s failure to:
Answer the door
Provide entry instructions
Coordinate access with a doorman or building management
This will be considered a no-show, and the client will be charged 50% of the booking fee.
7. Access, Keys & Security
Clients are responsible for providing accurate and secure access instructions. SoJo Cleaning Co. is not responsible for:
Missed services due to incorrect or incomplete access information
Delays caused by building policies, elevator reservations, or restricted access
Any keys or access codes provided will be used solely for the purpose of completing scheduled services.
8. Satisfaction Guarantee & Quality Concerns
If you are not satisfied with your cleaning, you must notify us within 24 hours of service completion.
We may, at our discretion:
Revisit the property to address specific concerns, or
Offer a partial or full credit toward a future service
Refunds are not guaranteed and are evaluated on a case-by-case basis.
9. Damage, Breakage & Liability Limitations
SoJo Cleaning Co. takes reasonable care during all services. However, we are not responsible for:
Normal wear and tear
Pre-existing damage
Damage resulting from improper installation, unsecured items, or undisclosed fragile materials
Any claims of damage must be reported within 24 hours of service and supported with documentation.
Our liability, if any, shall be limited to the cost of the affected service.
10. Health, Safety & Right to Refuse Service
We reserve the right to refuse or discontinue service if:
Conditions are unsafe or unsanitary beyond reasonable expectations
Aggressive behavior, harassment, or discrimination occurs
Illegal activity is suspected
In such cases, the service may be terminated without refund.
11. Payments & Billing
Payment is due as agreed at the time of booking confirmation.
Failure to process payment may result in cancellation of service or refusal of future bookings.
12. Intellectual Property
All website content, branding, logos, text, and materials are the property of 197 Main LLC d/b/a SoJo Cleaning Co. and may not be used or reproduced without written permission.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
14. Changes to These Terms
SoJo Cleaning Co. reserves the right to update or modify these Terms at any time. Changes will be posted on our website with an updated effective date.
Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
15. Indemnification
You agree to indemnify, defend, and hold harmless 197 Main LLC d/b/a SoJo Cleaning Co., its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your breach of these Terms
Your failure to provide accurate information or safe access to the property
Injury or damage caused by pets, occupants, or conditions within the property
Any third-party claims related to services performed at your request
This indemnification obligation does not apply to claims arising from SoJo Cleaning Co.’s gross negligence or willful misconduct.
16. Force Majeure
SoJo Cleaning Co. shall not be liable for any failure or delay in performing services due to events beyond our reasonable control, including but not limited to acts of God, severe weather, natural disasters, pandemics, government orders, labor disputes, transportation disruptions, utility failures, building access restrictions, or emergencies.
In such cases, service may be rescheduled without penalty, and no refunds or damages shall be owed.
17. Disclaimer of Warranties
Services are provided in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in these Terms, SoJo Cleaning Co. makes no warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
18. Limitation of Liability
To the fullest extent permitted by law, SoJo Cleaning Co. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of use, loss of profits, or emotional distress, even if advised of the possibility of such damages.
SoJo Cleaning Co.’s total liability for any claim arising out of or related to the services shall not exceed the amount paid for the specific service giving rise to the claim.
19. Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the services provided shall be resolved by binding arbitration administered in the State of New York in accordance with the rules of a recognized arbitration provider.
Both parties waive the right to a trial by jury. This arbitration agreement is intended to be mutually binding and enforceable under applicable law.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
21. Entire Agreement
These Terms constitute the entire agreement between you and SoJo Cleaning Co. regarding the subject matter herein and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
22. Waiver
The failure of SoJo Cleaning Co. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
23. Electronic Acceptance
You agree that submitting a booking request, checking a box, clicking a button, or otherwise electronically accepting these Terms constitutes a legally binding agreement and satisfies any requirement for a written signature.
24. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
25. Acceptance of Terms
By submitting a booking request or using our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
